We are looking for an experienced, commercially minded Legal Counsel to join our international investment business.

The ideal candidate combines knowledge of Cyprus investment fund regulations with hands-on experience in international corporate finance and cross-border transaction structuring.

Three Key Areas of Expertise

1. Cyprus Investment Funds & Regulatory Framework

* Knowledge of Cyprus AIF and AIFLNP structures and CySEC regulations.
* Preparation and review of investment fund documentation.
* Coordination with fund managers, administrators, regulators and external legal advisers.

2. International Transaction Structuring & Corporate Finance

* Structuring cross-border investments and financing arrangements.
* Experience with loan agreements, equity investments, bonds and SPVs.
* Drafting and negotiating investment agreements, financing documentation and corporate resolutions.
* Developing practical legal solutions for international capital flows and intercompany financing.

3. Tax & Financial Structuring (Advantage)

* Understanding of international tax implications, withholding tax and transfer pricing.
* Ability to evaluate the legal and financial implications of proposed transaction structures.
* Experience coordinating tax and financial assessments with external advisers.

What We’re Looking For

* Law degree and 3+ years of relevant legal experience.
* Good understanding of Cyprus corporate and financial regulations.
* Strong contract drafting and analytical skills.
* Experience in corporate finance, investment funds or international transactions.
* Fluent English; Russian is an advantage.
* Independent, proactive and solution-oriented mindset.
